Terms of Service

These Terms of Service govern access to this website and the purchase or use of sales process and customer acquisition consulting services provided under the TRADING TP brand.

1. Acceptance

By accessing the website, requesting information, accepting a proposal, signing a statement of work, paying an invoice, or otherwise using the services, you agree to these Terms. If you act for a business or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the website or services.

Specific proposals, statements of work, invoices, or written service agreements may contain additional terms. If a conflict exists, the signed statement of work or service agreement controls for that engagement, followed by these Terms.

2. Services

TRADING TP provides advisory consulting related to internal sales workflows, lead handling, customer follow-up planning, and sales performance review. Depending on the agreed scope, deliverables may include interviews, workflow maps, observations, written recommendations, stage definitions, lead classification guidance, handoff procedures, follow-up schedules, internal checklists, or performance review reports.

Services are consultative and operational. TRADING TP does not act as a broker, investment adviser, lender, payment processor, collection agency, employment agency, or custodian. It does not buy or sell securities or commodities, arrange financing, process customer payments, or manage client funds.

3. Scope and changes

The scope, timing, assumptions, fees, and deliverables for an engagement will be described in a proposal, statement of work, order confirmation, or invoice. Any request that materially expands the number of departments, workflows, interviews, revisions, deliverables, systems, or locations may require a written change to scope and an additional fee.

Estimated delivery dates depend on timely access to personnel, information, feedback, and approvals. A delay by the client may extend the schedule. TRADING TP may pause work when required information is not provided, invoices are overdue, or continuation would create legal, ethical, or security concerns.

4. Client responsibilities

The client will provide accurate and complete information reasonably required for the engagement; identify an authorized point of contact; obtain internal permissions needed to share information; review deliverables within the agreed review period; and remain responsible for business decisions, employee supervision, legal compliance, and implementation.

The client must not provide unnecessary sensitive personal data, payment card data, passwords, access tokens, health information, or regulated financial information. When access to a system is necessary, the parties should use the least-privileged and time-limited method reasonably available.

5. Fees and payment

Website prices are starting estimates and do not constitute a binding offer. Final fees are confirmed in writing after the requested scope is reviewed. Unless a written agreement states otherwise, fees are quoted in U.S. dollars, invoices are due on the date shown, and the client is responsible for applicable sales, use, or similar taxes other than taxes based on TRADING TP income.

Work may require an advance payment or deposit. Reasonable, pre-approved out-of-pocket expenses may be invoiced separately. Overdue amounts may cause suspension of work. The client is responsible for legitimate collection costs to the extent permitted by law.

6. Cancellation and refunds

A client may request cancellation in writing. Unless the applicable statement of work provides different terms, fees already earned for completed work, reserved consulting time, discovery activity, interviews, research, drafts, and non-cancelable expenses are not refundable. Any unearned prepaid amount remaining after final reconciliation will be returned within a commercially reasonable period.

TRADING TP may terminate or suspend an engagement for nonpayment, unlawful requests, material breach, abusive conduct, security risks, or failure to cooperate after reasonable notice. Upon termination, the client must pay for work performed and approved expenses incurred through the effective termination date. Sections intended by their nature to survive termination will remain effective.

7. Revisions and acceptance

The number and type of revisions are limited to those stated in the applicable scope. A revision refines an agreed deliverable and does not include a new strategy, new department, new workflow, or new set of objectives. Unless otherwise agreed, a deliverable is considered accepted when the client approves it in writing, uses it operationally, or does not provide specific written concerns within ten business days after delivery.

8. Advisory nature

Recommendations are based on information available during the engagement and professional judgment applied to the stated business context. TRADING TP does not guarantee revenue, lead volume, conversion rates, customer retention, cost savings, financing, account approval, regulatory outcomes, or any other specific commercial result.

The client is solely responsible for evaluating recommendations and deciding whether, when, and how to implement them. The client should obtain independent legal, tax, accounting, employment, privacy, cybersecurity, or financial advice when those matters are relevant. No website content or consulting deliverable should be treated as advice in those regulated fields unless expressly provided by a properly qualified professional under a separate written agreement.

9. Intellectual property

Each party retains ownership of materials, methods, trademarks, data, documents, and intellectual property it owned or developed independently before the engagement. Upon full payment, the client may use final deliverables created specifically for that client for its internal business purposes.

TRADING TP retains ownership of general methods, frameworks, templates, know-how, non-client-specific concepts, working files, and reusable tools. To the extent any retained material is embedded in a final deliverable, the client receives a non-exclusive, perpetual license to use that embedded material solely as part of the deliverable for internal operations. The client may not resell, publish, sublicense, or commercially distribute deliverables without written permission.

10. Confidentiality

Each party will use reasonable care to protect nonpublic business information received from the other and will use it only for the engagement. Confidential information does not include information that is public through no breach, already lawfully known, independently developed without use of the other party's information, or lawfully received from another source without a confidentiality duty.

Disclosure may be made to personnel and service providers who need the information and are subject to appropriate duties, or when required by law. Where legally permitted, the receiving party will provide reasonable notice before a compelled disclosure.

11. Privacy and security

Personal information collected through the website or during an engagement is handled as described in the Privacy Policy. No online system can be guaranteed completely secure. Each party will use reasonable safeguards appropriate to the information it controls and will promptly communicate known incidents that materially affect shared engagement information.

12. Acceptable use

You may not use the website or services to violate law, infringe rights, introduce malicious code, probe security, scrape protected content, misrepresent identity, interfere with operation, submit deceptive information, or request assistance for fraud, harassment, discrimination, money laundering, sanctions evasion, or other unlawful activity. Automated access that imposes an unreasonable load is prohibited.

13. Third-party tools

The website or an engagement may refer to or interact with tools and services operated by third parties. Those services are controlled by their providers and may have separate terms, fees, privacy practices, availability, and security characteristics. TRADING TP is not responsible for third-party services and does not warrant their continued availability or suitability.

14. Disclaimers

To the maximum extent permitted by law, the website is provided on an “as available” basis. TRADING TP disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. This disclaimer does not exclude warranties that cannot legally be excluded. Information may be corrected or updated without notice.

15. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost opportunities, loss of goodwill, or loss of data, arising from the website or services, even if advised of the possibility.

Except for payment obligations, misuse of intellectual property, violation of confidentiality, fraud, willful misconduct, or liability that cannot be limited by law, the aggregate liability of TRADING TP arising from an engagement will not exceed the fees paid for the specific services giving rise to the claim during the six months before the event. These allocations form an essential basis of the agreement.

16. Indemnification

To the extent permitted by law, the client will defend and indemnify TRADING TP from third-party claims arising from client-provided materials, unlawful implementation, misuse of deliverables, violation of law, or breach of these Terms. TRADING TP will provide reasonable notice and cooperation, and the client may not settle a claim in a way that admits fault or imposes nonmonetary obligations without consent.

17. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Subject to any written dispute procedure in a signed agreement, the state and federal courts located in Wyoming will have exclusive jurisdiction. Before filing a claim, each party will make a good-faith attempt to resolve the matter through direct written discussion.

18. General terms

Neither party may assign a specific engagement without the other's consent, except in connection with a merger, reorganization, sale of substantially all assets, or similar transaction where the successor assumes the obligations. TRADING TP may use qualified subcontractors while remaining responsible for contracted deliverables. Neither party is liable for delay caused by events beyond reasonable control, excluding payment obligations.

If any provision is unenforceable, it will be adjusted to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. Headings are for convenience. Electronic approvals and counterparts are effective. These Terms, together with applicable written engagement documents, form the complete agreement about their subject matter.

19. Changes

These Terms may be revised to reflect changes in services, law, or business practices. The “Last updated” date identifies the current version. Material changes will apply prospectively unless law requires otherwise. Continued use after an update constitutes acceptance of the revised Terms.
